Terms & Conditions.
Effective Date: April 19, 2025
Introduction
These terms govern the strategic collaboration between POFOREAL and our brand partners. By engaging with our services—ranging from market entry to full-scale digital sovereignty—you agree to the operational logic and intellectual standards outlined herein.
Service Scope & Tiers
Services are delivered based on the selected tier (Essential, Omnichannel, or Strategic Sovereignty). Specific deliverables for each tier are detailed in the official Service Proposal and are subject to the "Aesthetic Sovereignty" principle maintained by POFOREAL.
Financial Transparency & Media Spend
Hybrid Fee Structure — POFOREAL operates on a "Service Fee + Performance Commission" model. The Service Fee (Retainer) covers the foundational cost of strategic management and digital infrastructure. The Sales Commission is a performance-based incentive, with specific percentages subject to bilateral negotiations and defined in the individual Service Proposal.
Media Spend Transparency — To maintain absolute objectivity and avoid conflicts of interest, all direct media expenditures (Hard Costs, such as KOL/KOC ad spend) and third-party platform commissions are excluded from our service fees. These are billed transparently at cost to ensure the integrity of the brand's marketing investment.
Data Integrity & Objectivity
In alignment with our commitment to academic rigor, POFOREAL guarantees absolute objectivity in all reporting. We strictly prohibit the manipulation of engagement metrics, traffic data, or sales links to ensure that strategic decisions are based on authentic market feedback.
Intellectual Property & B2B Systems
While the brand partner retains ownership of their original brand assets, POFOREAL retains all rights to proprietary B2B distribution systems, AIO-enhanced workflows, and specific localized narratives developed during the collaboration.
Governing Law
These terms are governed by the laws of the People's Republic of China. Any disputes arising from this collaboration shall be submitted to the jurisdiction of the courts in Hangzhou.
